PENDING CORPORATE CHANGES, LISTED ALPHABETICALLY:

Avago Technologies Ltd. (AVGO) announced on May 28, 2015 that it will purchase Broadcom Corp. (BRCM) for $54.50 in a combination of cash and stock. (Read more here.) Shareholders approved the transaction on Nov. 11, 2015. (Read more here.) The transaction is expected to close at the end of the first calendar quarter of 2016. (12-07-15)

Danaher and Pall Corps. To Merge and Split in Creative M&A Deal  —  The M&A deal was announced on May 13, 2015. The Pall Corp. (PLL) acquisition was completed on 08-31-15, with PLL shareholders receiving $127.20 cash per share. Danaher (DHR) subsequently plans to split into two companies in the third quarter of 2016. The new company will be named Fortive Corp. (12-07-15)

Halliburton to Buy Baker Hughes — the deal was announced Nov. 17, 2014.  Halliburton (HAL) refiled a request for EU antitrust approval in November 2015, after the first request had been rejected. A decision is expected b January 12, 2016. The deal could close in early 2016. Shareholders approved the merger in March 2015.  (11-28-15)

Rental-car company Hertz Global Holdings (HTZ) will spin off its equipment-leasing division in a tax-free distribution to shareholders.  The spin-off has been delayed, now targeted for second quarter 2016.  Read more here.  (09-01-15)

COMPLETED OR CANCELLED TRANSACTIONS

Actavis PLC (ACT) completed the purchase of Forest Laboratories, Inc. (FRX) on July 1, 2014.  Please review the Actavis press release.  (07-09-14)

Actavis to Buy Allergan; Valeant Waves the White Flag — the deal was announced Nov. 17, 2014. Actavis PLC (ACT) completed the purchase of Allergan, Inc. (AGN) on March 17, 2015. Actavis then changed its name to Allergan PLC (AGN) in June 2015. (09-01-15)

Agilent Technologies (A) spun off its Electronic Measurement business from its life sciences & diagnostics businesses in early November 2014.  The new company is named Keysight Technologies Inc. The Alibaba (BABA) IPO took place on September 19, 2014 at $68 per share.  (10-01-14)

Apple Inc. (AAPL) split its stock seven-for-one in June 2014.

The planned merger between semiconductor giant Applied Materials Inc. (AMAT) and  Tokyo Electron has been cancelled, due to regulatory concerns.  Read more in this Forbes article. (05-29-15)

Athlon Energy (ATHL) accepted a $58.50-per-share buyout offer from EnCana Corp. (ECA).  Read more in this article from Nov. 2014, and in my article for subscribers, Buyout Offer Gives Athlon Shareholders 34% Profit Since My June Buy Recommendation.  (01-10-15)

DIRECTV (DTV) Agrees to AT&T (T) Buyout Offer — “Under the terms of the merger, DIRECTV shareholders received 1.892 shares of AT&T common stock, in addition to $28.50 in cash, per share of DIRECTV.” — AT&T press release, 07-24-15. (09-01-15)

Avago Technologies (AVGO) purchased Emulex Corp. (ELX) for $8 cash per share, on May 5, 2015. (05-20-15)

Avago Technologies (AVGO) purchased LSI Corp. (LSI) for $11.15 cash per share.  The deal closed in May 2014.  Read previous news here.  (05-19-14)

Baxter International (BAX) spun off its biopharmaceutical business to shareholders on July 1, 2015.  The remaining company will focus on life-saving medical products. The new biopharmaceutical company is named Baxalta Incorporated (BXLT). Baxter spun off 80.5% of Baxalta shares to current shareholders, and retained ownership of the remaining 19.5% of Baxalta shares. See press release here. (09-01-15)

CBS Corp. (CBS) completed the initial public offering (IPO) of its North American Outdoor advertising business on March 28, 2014.  The IPO was priced at $28 per share.  The new company is named CBS Outdoor Americas Inc. (CBSO).  CBSO will subsequently be converted into a Real Estate Investment Trust (REIT).  CBS Corp. retains 83% ownership in the new company.

Shares of Celgene Corp. split two-for-one after the market closed on June 25, 2014.  See my comments from June 26, 2014.  (07-09-14)

Chesapeake Energy Corp. (CHK) spun off its oilfield services business, Chesapeake Oilfield Operating, L.L.C. (COO) to shareholders at the close of business on June 30, 2014.  COO has been renamed Seventy Seven Energy Inc. (SSE).  Chesapeake shareholders received one share of SSE for every 14 shares held of CHK.  (07-09-14)

One of the biggest potential media M&A mergers in history, between Comcast Corp. (CMCSA) and Time Warner Cable (TWC) has been terminated.  See details here. (06-06-15)

Cooper Tire & Rubber (CTB) has abandoned its merger agreement with Apollo Tyres of India.  Read more news here.  (03-26-14)

Electrolux AB’s (ELUXY) plan to purchase General Electric’s (GE) appliance business has been denied by U.S. regulators. Read more here. (12-07-15)

Geeknet, Inc. (GKNT) was acquired by GameStop Corp. (GME) in July 2015. GameStop paid $20 cash per GKNT share. See GameStop’s press release here.

Google Distributes Class C Shares to Class A Shareholders

Heinz And Kraft To Merge In 2015 — The merger was completed on July 2, 2015. The new company is named Kraft Heinz Company (KHC). (09-01-15)

MasterCard (MA) stock split ten-for-one on January 21, 2014.  Read my comments from December 11, 2013.

National Oilwell Varco, Inc., (NOV) the largest U.S. oilfield equipment provider, spun off its distribution business to shareholders on May 30, 2014.  The new company is named NOW Inc. (DNOW).  NOV shareholders received one share of DNOW for every four shares of NOV held.  (07-09-14)

Novo Nordisk’s (NVO) stock split five-for-one on January 9, 2014.

Office Depot and OfficeMax Complete Merger on Nov. 5, 2013.

Papa John’s Int’l Inc. (PZZA) stock split two-for-one on 12/30/13.

PetSmart (PETM) was purchased by a private consortium, for $83 per share in cash, on 03-11-15.

Pfizer Completes Acquisition of Hospira on September 3, 2015.

Reynolds American (RAI) to Buy Lorillard (LO) in Big Tobacco Merger — The merger was announced on July 15, 2014.  “At closing, Lorillard shareholders will receive $50.50 in cash and 0.2909 of a share of RAI stock for each share of Lorillard stock they own.” The acquisition was completed on June 12, 2015. Thermo Fisher Scientific Inc. (TMO) and Life Technologies Corp. (LIFE), makers of laboratory equipment, have agreed to merge operations.  TMO will paid $76.13 per share for Life Technologies, totalling $13.6 billion, and assumed $1.5 billion in net debt.  Read my additional comments from July 7, 2013.  TMO announced completion of the deal on Feb. 3, 2014.  (02/19/14)

Time Warner Inc. (TWX) spun off the stock of its publishing business, Time Inc. (TIME), to TWX shareholders on June 6, 2014. Here’s the cost basis info.  The publishing company includes Time, People, and  Sports Illustrated.

Verizon And AOL Enter $4.4 Billion M&A Deal  —  The merger was announced on May 12, 2015, and was completed on June 23, 2015. AOL shareholders received $50 cash per share.  (09-01-15)
